1. Introduction

Welcome to Wamafy ("Wamafy", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Wamafy platform, accessible at wamafy.com and any related services (collectively, the "Service").

Wamafy is owned and operated by kCube Consultancy Services Pvt Ltd, a company registered in India with its registered office at 58 Rajarthinam Avenue, 2nd Cross Street, Injambakkam, Chennai 600115, Tamil Nadu, India.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Wamafy is a Software-as-a-Service (SaaS) platform that helps businesses manage WhatsApp marketing on top of Meta's official WhatsApp Cloud API. The Service enables you to:

  • Connect your Meta WhatsApp Business Account.
  • Manage a contact list (leads), including via CSV import.
  • Create and submit WhatsApp message templates for Meta's approval.
  • Run broadcast campaigns to selected audiences using approved templates.
  • Track per-message delivery, read, and failure status.
  • Analyze campaign performance.

Wamafy is a Business Solution Provider (BSP) layer that sits on top of Meta's WhatsApp Cloud API. Meta's policies — including the WhatsApp Business Policy, the Commerce Policy, and the messaging rate limits and quality thresholds — apply directly to messages sent through the Service, and you are responsible for following them.

3. User Accounts

3.1 Account Registration

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security of your password and account.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

3.2 Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. The Service is intended for use by businesses for legitimate marketing and customer-communication purposes, not by individual consumers.

4. Subscription and Payments

4.1 Subscription Plans

Access to the Service may require a valid subscription. We offer (or will offer) various subscription plans with different features and pricing. Details of available plans are provided on our website. Note that Meta charges conversation-based fees for messages sent through the WhatsApp Cloud API; those fees are billed directly to your Meta account and are not included in Wamafy subscriptions.

4.2 Payment Terms

When paid plans are launched, payments will be processed through our payment partner. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle.

4.3 Refund Policy

Refund requests are evaluated on a case-by-case basis. To request a refund, please contact us at support@wamafy.com with details of your request.

4.4 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will be communicated to existing subscribers at least 30 days before taking effect.

5. License and Restrictions

5.1 License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in managing your WhatsApp marketing.

5.2 Prohibited Activities

You expressly agree that you will NOT:

  • Resell or redistribute the Service or any portion thereof to third parties.
  • Sublicense your access to the Service to any other person, entity, or organization.
  • White-label or rebrand the Service for resale or commercial distribution to third parties.
  • Operate the Service as a service bureau or offer it as a managed service to others without our prior written consent.
  • Share your subscription with multiple businesses or organizations not under your direct ownership.
  • Create derivative works based on the Service for commercial distribution.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.

5.3 Single Organization Use

Each subscription is licensed for use by a single organization. If you operate multiple businesses or wish to provide the Service to affiliated organizations, each must maintain its own separate subscription. Violation of this provision may result in immediate termination of your account without refund.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Send unsolicited messages (spam) or contact recipients who have not provided a lawful basis for receiving your messages.
  • Violate Meta's WhatsApp Business Policy, Commerce Policy, or any other policy applicable to the WhatsApp Cloud API.
  • Send content that is illegal, harmful, harassing, defamatory, obscene, hateful, or otherwise objectionable.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service for any unlawful, fraudulent, or deceptive purposes.
  • Scrape, harvest, or collect data from the Service without permission.
  • Impersonate any person or entity.
  • Use automated means to access the Service without our prior written consent.
  • Exceed the usage limits associated with your subscription plan.

You are solely responsible for ensuring that you have a lawful basis (consent or other applicable legal ground) to message every contact in your audience. Wamafy may suspend or terminate your account if your sending behavior triggers Meta quality-rating drops, mass blocks, or policy violations.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding User Content), is owned by kCube Consultancy Services Pvt Ltd and is protected by copyright, trademark, and other intellectual property laws. The Wamafy name, logo, and all related marks are trademarks of kCube Consultancy Services Pvt Ltd.

7.2 User Content

You retain ownership of any content you upload, submit, or create through the Service ("User Content"), including your contact lists, templates, and campaign data. By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process such content solely for the purpose of providing the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to compensate you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Service Availability and Modifications

9.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including outages of upstream providers such as Meta, Railway, or Vercel.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes that materially affect your use of the Service.

10. Termination

10.1 Termination by You

You may cancel your subscription and terminate your account at any time through the Service settings or by following the instructions on our Delete Account page. Upon termination, your access to the Service will cease at the end of your current billing period (where applicable).

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms (including license restrictions and acceptable-use rules), violate Meta's WhatsApp policies, engage in reselling or sublicensing activities, or conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the Service.

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may retain your data as required by applicable laws. You may request data export before termination. No refunds will be provided for termination due to violation of these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee message delivery — delivery is ultimately controlled by Meta and by the recipient's WhatsApp client.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KCUBE CONSULTANCY SERVICES PVT LTD AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless kCube Consultancy Services Pvt Ltd and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, violation of these Terms, infringement of any third-party rights, or violation of Meta's WhatsApp policies.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and kCube Consultancy Services Pvt Ltd regarding the Service and supersede all prior agreements and understandings.
